Please read this Merchant Agreement carefully before using www.ClickShopSupport.com (the "Site"). By using this Site, you signify you understand and agree to be bound by the terms and conditions of this Merchant Agreement. If you do not agree to this Merchant Agreement, please do not use this Site.

The Merchant Agreement is subject to periodic change at ClickShopSupport.com's discretion. As such, each user of the Site ("Member" or "you") agrees to review this Merchant Agreement periodically in the section of the Site entitled "Terms and Conditions" or "Legal".

General Merchant Application Guidelines:

- You must be the owner/operator of your site. ClickShopSupport.com does not accept other third parties or affiliate networks.

- Your site and landing URL must be in English.

- Your site cannot be an affiliate network or online marketing product in direct competition with ClickShopSupport.com.

- You must have a site of high commercial quality.

- All campaigns must provide a CPA or commission offer equal to an in-house program or equal to or above that of a third-party affiliate network, if applicable.

- You must have access to the code of your site, and the ability to edit this by implementing the compulsory ClickShopSupport.com tracking code.

- Your product must be, in ClickShopSupport.com’s sole opinion, commercially viable with our affiliate's traffic base.

- You are required to purchase one of our service packages in order to go live.

DEFINITIONS

"Affiliate(s)" means an owner and/or operator of a website, domain or URL accepted by ClickShopSupport.com as an affiliate.

"Services" means all the services provided on the Site by ClickShopSupport.com to the Merchant pursuant to this Agreement that are part of one or more of the following programs:

- Commercial

- Not For Profit

"The Site" means www.ClickShopSupport.com and any successor website to this website.

"Software" means ClickShopSupport.com' software (source code, object code, informational databases and other components or related documentation) herein licensed for use by Merchant.

"System" means the ClickShopSupport.com tracking system comprised of the software licensed by Merchant pursuant to the terms and conditions of this Agreement and all associated services.

"User(s)" means individuals or entities that access Merchant's websites directly from Affiliate's website, and excludes all software programs that generates a Click-Through with no individual person actually present, including but not limited to shopping bots or other computer programming routines used for comparison shopping.

2. MERCHANTS OBLIGATIONS AND RESPONSIBILITY

Merchant represents and warrants that it has the right, power and authority to enter into this Agreement and agrees to perform all of its obligations hereunder and be responsible for: (a) ensuring that only integral and accurate information is entered into the ClickShopSupport.com tracking system; (b) providing ClickShopSupport.com with requested information such as tests, data, site statistics, tracking of Affiliate commissions statistics and Affiliate program earnings statistics in a timely and accurate manner; (c) approving all pending transactions in a timely manner (recommended review period shall be within five (5) business days from the reception of an order); (d) ensuring all commission model recipients, amounts, time periods and conditions are accurate unless commission services are contracted with ClickShopSupport.com; (e) maintaining in its account with ClickShopSupport.com a minimum balance equal to the payments of the commission to be paid by Merchant to Affiliates, which balance amount shall in no event be less than $US 50 or Not For Profit $US 50; the Merchant agrees that (i.) FAILURE TO DO SO FOR 10 CONSECUTIVE WORK DAYS WILL RESULT IN A PENALTY PAYMENT TO BE MADE TO CLICKSHOPSUPPORT.COM EQUAL TO TWENTY PERCENT (20%) OF SUCH OUTSTANDING BALANCE PAYABLE UPON NOTICE BY CLICKSHOPSUPPORT.COM and (ii.) ClickShopSupport.com will not issue payments to Affiliates if Merchant has a negative balance; (f) not sending emails, directly or indirectly, which either contain false or misleading statements, links directly to Merchant’s website, do not truthfully identify the source or the originating IP Address and/or do not contain an online and real time removal option; (g) properly disclosing the use of any Third Party cookies on the Merchant's site, since ClickShopSupport.com may use cookies to track affiliate commissions, and complying with all relevant privacy laws and regulations; (h) not making use of any program that deliberately and intentionally attempts to damage or destroy a computer or network system, illegally invades privacy or steals data or bandwidth, including but not limited to Viruses and Trojans; (i) the development, operation, maintenance of its website and for all material posted on its website; (j) ensuring that Affiliate tracking code is available on every transaction confirmation page of its website(s); (k) prominently displaying and maintaining: (i) banners containing a linking URL located on Affiliate's website and permitting Users to navigate directly to Merchant's landing page(s), and (ii) persistent hyperlinks in the form of ClickShopSupport.com Icons provided by ClickShopSupport.com from time-to-time during the term of this Agreement through which Users may directly link to a location on the Site, within thirty (30) days following the receipt of any such ClickShopSupport.com Icons.

By entering into this Agreement, Merchant also agrees to receive a variety of materials via email or internal system message from ClickShopSupport.com, including but not limited to administrative communications, system alerts and software news. In addition Merchant has the option to opt in and receive promotional messages from ClickShopSupport.com, other Merchants, Affiliates and/or third parties.

3. MERCHANT TRACKING FRAUD

MERCHANT UNDERTAKES TO ENSURE THAT TRACKING CODES ARE IN PLACE AT ALL TIMES. CLICKSHOPSUPPORT.COM RESERVES THE RIGHT TO CONDUCT RANDOM CHECKS ON MERCHANT'S TRACKING AT CLICKSHOPSUPPORT.COM' OWN DISCRETION AND WITHOUT PRIOR NOTICE TO MERCHANT. IN THE EVENT THAT CLICKSHOPSUPPORT.COM DISCOVERS ANY SALE DERIVED FROM CREATIVE LANDING URL(S) SPECIFIED IN MERCHANT'S ACCOUNT AT CLICKSHOPSUPPORT.COM WHICH WAS EITHER NOT TRACKED OR TRACKED IMPROPERLY AND WHICH RESULTED IN INCORRECT AFFILIATES AND/OR CLICKSHOPSUPPORT.COM COMMISSION ("MERCHANT TRACKING FRAUD"): (I) MERCHANT SHALL HAVE TO PAY TO CLICKSHOPSUPPORT.COM THE PENALTY SET FORTH IN THIS SECTION AND (II) MERCHANT'S ACCOUNT WILL BE TEMPORARILY SUSPENDED UNTIL THE TRACKING CODE IS PROPERLY INSERTED AND THE PENALTY IS PAID IN FULL. THE PENALTY TO BE PAID BY MERCHANT TO CLICKSHOPSUPPORT.COM PURSUANT TO THIS SECTION SHALL EQUAL TO US$200/CA$260 UPON CONFIRMATION OF A FIRST MERCHANT TRACKING FRAUD AND US$400/CA$520 UPON CONFIRMATION OF A SECOND MERCHANT TRACKING FRAUD. UPON CONFIRMATION OF A THIRD MERCHANT TRACKING FRAUD, CLICKSHOPSUPPORT.COM SHALL BE ENTITLED TO PERMANENTLY CLOSE THE MERCHANT'S ACCOUNT WITHOUT INCURRING ANY LIABILITY TOWARDS MERCHANT. CLICKSHOPSUPPORT.COM SHALL BE ENTITLED TO DEDUCT ANY PENALTY AMOUNT FOR MERCHANT TRACKING FRAUD DIRECTLY FROM THE MERCHANT'S ACCOUNT. SETUP FEE IS NON-REFUNDABLE.

4. CONFIDENTIALITY

Merchant will not use information and ideas, specifications, records, data, know-how, plans, algorithms, processes, discoveries, inventions relating to the System, the Software and the Services, whether patentable/copyrightable or not, and in whatever form ("Confidential Information") for any purpose other than as set forth in this Agreement and will ensure that the same duty of confidentiality is imposed on its employees or third parties to which it has disclosed the Confidential Information. If Merchant becomes legally compelled to disclose any Confidential Information by any governmental body or court, it shall provide ClickShopSupport.com with prompt notice to enable ClickShopSupport.com to seek an appropriate remedy. Upon the expiration or termination of this Agreement, Merchant shall deliver to ClickShopSupport.com, or destroy, upon request, all Confidential Information in its possession or under its control.

Both parties undertake to observe a duty of confidentiality with respect to the conditions contained in this Agreement, although ClickShopSupport.com is entitled to refer to the identity of the Merchant in its advertising statements. Merchant shall keep confidential any subscriber code, username, user ID, or password received from ClickShopSupport.com and information available through password-protected areas of the Site(s). Merchant shall immediately notify ClickShopSupport.com of any unauthorized use of its password or account.

5. INTELLECTUAL PROPERTY RIGHTS

All intellectual or industrial property rights to the Software and to all Services made available pursuant to this Agreement, including but not limited to the Confidential Information shall vest exclusively in ClickShopSupport.com or its licensors. Merchant is not permitted to change or delete trademark or identifying marks and/or any other indications in respect of copyrights, trade names or other intellectual property rights affixed to the Software. The System shall not be used by Merchant for illegal or criminal purposes, or purposes detrimental to ClickShopSupport.com' business, such as reverse engineering, decompiling, disassembling, or creating derivative works from the Software.

6. PRICING AND PAYMENT TERMS

For the Services rendered by ClickShopSupport.com pursuant to this Agreement, Merchant agrees to pay ClickShopSupport.com the following fees:

- For the services described on the Site, a one-time setup fee of Commercial $US 139.95 or Not For Profit $US 39.95.

- For the services described on the Site, a monthly maintenance fee of Commercial $US 5.00 or Not For Profit $US 5.00.

- A minimum deposit amount of Commercial $US 100 or Not For Profit $US 100 shall be remitted to ClickShopSupport.com upon execution of this Agreement to establish Merchant account. Merchant must maintain a minimum amount of $US 50 in its account at all times during the term of this Agreement, which balance amount shall in no event be less than US$ 50.00 or Not For Profit $US 50 to cover the amount equal to the commission payments to be made to Affiliates and ClickShopSupport.com by Merchant, refund of testing transactions, transaction fees charged by third party financial institutions and penalties resulted from Merchant Fraud, if any. ClickShopSupport.com reserves the right to modify this minimum amount, in its entire discretion, based on the Merchant's sale value or volume.

7. AGREEMENT BETWEEN MERCHANT AND AFFILIATES

Merchant agrees that any and all agreements, partnerships and/or affiliations made between Merchant and Affiliates shall contain the following minimum provisions: (i) ClickShopSupport.com remains an unaffiliated third party to the Merchant and Affiliates; (ii) ClickShopSupport.com may facilitate payments to be made by Merchant to Affiliates, although it will in no event actually retain the services of Affiliates.

8. TERM, DEACTIVATION AND TERMINATION

The term of this Agreement shall commence as of the Effective Date. This Agreement may be terminated either: (a) by ClickShopSupport.com at any time by giving thirty (30) days prior written notice to Merchant, or (b) by either party, without notice in the event of a substantial breach by the other party of its obligations under this Agreement, or in the event that the other party is bankrupt or makes a general assignment for the benefit of its creditors or is wound up, dissolved or liquidated or has its existence terminated or has declared any such intent. Upon deactivation of Merchant's account or termination of this Agreement, ClickShopSupport.com shall: (i) restrict access to Merchant's account and suspend all tracking and reporting activities; (ii) notify all Affiliates of Merchant's deactivated status; and (iii) remove all references to Merchant from the System and the Site(s). Deactivation of Merchant's account and termination of this Agreement shall not release Merchant from the obligation to pay to Affiliates and ClickShopSupport.com any amount then owed to them.

9. INDEMNITY

Merchant agrees to release, indemnify, and hold ClickShopSupport.com, its contractors, agents, employees, shareholders, officers, directors, affiliates and third party beneficiaries harmless from all liabilities, damages, claims of third parties (including but not limited to claims from Affiliates relating to non payments of commissions by Merchants or inaccuracies in such commissions) and expenses (including attorney's fees) relating to or arising under this Agreement and in connection with: (a) Merchant's use of the Services, including, without limitation, infringement by Merchant, or someone under the control of Merchant of any intellectual property or other proprietary right of any third party; or (b) relating to the development, operation, maintenance, and contents of the Merchant's website(s). Merchant's failure to provide written assurances to ClickShopSupport.com threatened with such a suit by a third party shall be a breach of this Agreement. This indemnification obligation will survive the termination or expiration of this Agreement.

10. LIMITATION OF LIABILITY

Merchant further agrees that ClickShopSupport.com shall in no event be liable for any loss, liability or damages due to: (a) the removal or fraudulent manipulation of the Affiliate tracking code(s); (b) access delays or access interruptions to the System, Merchant hereby acknowledges that the network may, at various time intervals, be down due to utility interruption, equipment failure or human error; (c) data non-delivery, mis-delivery, corruption or destruction; (d) failure or delay in performing its obligations hereunder due to circumstances beyond its reasonable control, including, without limitation, acts of any governmental body, war, embargo, fire, flood, strike or other labor disturbance, unavailability or delay in telecommunications or third party services or inability to obtain supplies; (f) System errors and/or omissions; (h) any faulty or negligent manipulation of the System. ClickShopSupport.com' liability for all claims arising out of this Agreement shall be limited to the amount of Monthly Maintenance Fees paid by Merchant to ClickShopSupport.com under this Agreement during the 6-month period prior to the date of the occurrence of damage or loss.

IN NO EVENT SHALL CLICKSHOPSUPPORT.COM BE LIABLE FOR ANY DAMAGE, LOSS OF DATA, LOSS OF PROFITS OR OTHER SPECIAL, INCIDENTAL, CONSEQUENTIAL OR INDIRECT DAMAGES ARISING FROM OR IN RELATION TO THIS AGREEMENT OR THE USE OF THE SYSTEM, THE OPTING OUT OF COMMUNICATIONS FROM CLICKSHOPSUPPORT.COM, MERCHANTS, AFFILIATES OR ANY THIRD PARTIES, HOWEVER CAUSED, THAT ARE INCURRED BY MERCHANT OR ITS CUSTOMERS. THIS LIMITATION WILL APPLY EVEN IF CLICKSHOPSUPPORT.COM HAS BEEN ADVISED OR IS AWARE OF THE POSSIBILITY OF SUCH DAMAGES.

11. MISCELLANEOUS

Notices. Any notice, request or other communication hereunder in connection with this Agreement shall be in writing and be well and sufficiently given if sent by prepaid, registered or certified mail, hand-delivered or sent by telecopy to it at 1250 Connecticut Avenue NW, Suite 200 Washington, DC 20036.

Relationship of Parties. ClickShopSupport.com and Merchant are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Merchant agrees not to make any statement that could reasonably cause any User's confusion as to the relationship between Merchant and ClickShopSupport.com.

Entire Agreement. This Agreement represents the entire agreement for access to and use of the System and may only be amended in writing.

Assignment. Merchant shall not sell, assign or otherwise transfer any of its rights or obligations under this Agreement without the prior written consent of ClickShopSupport.com.

Severability. Each party agrees that the terms of this Agreement are severable. If any term or provision is declared invalid or unenforceable, that term or provision will be construed consistent with applicable law as nearly as possible to reflect the original intentions of the parties, and the remaining terms and provisions will remain in full force and effect.

Governing Law and Language. This Agreement shall be governed by and interpreted and enforced in accordance with the laws of the State of Delaware and the federal laws of the United States of America applicable therein. Merchant irrevocably consents to the jurisdiction of the courts of Delaware. This Agreement has been drafted in the English language at the request of the parties.

12. USE OF SOFTWARE

ClickShopSupport.com hereby grants to Merchant a worldwide, non-exclusive and non-transferable license to use the Software and its related databases only for viewing information or for extracting information for its own private use or the internal purposes of Merchant's business, provided that such business is not related to the selling or brokering of personal information.

Nothing herein shall authorize Merchant to: (a) copy or reverse engineer the Software or enable in any way a third party to do so; (b) write or develop any derivative software or any other software program based upon the Confidential Information; (c) cause or permit to be published, printed, downloaded, transmitted, distributed, reengineered, or reproduced in any form, any part of the database (whether directly or in condensed, selective or tabulated form) whether for resale, republishing, redistribution, viewing, or otherwise; and (d) grant any sub-licenses or other rights to the System or part of the System to a third party.

ClickShopSupport.com represents and warrants that: (a) it has the right, power and authority to license the Software to Merchant pursuant to this Agreement free of all liens, encumbrances and other restrictions; (b) it will use its best efforts to ensure that the Software operates and runs in accordance with the Service specifications indicated in this Agreement; and (c) the license furnished by ClickShopSupport.com hereunder and/or the use of the Software by Merchant in accordance with the terms and conditions herein will not infringe upon nor violate any proprietary right of any third party.

Merchant agrees that the license for using the Software is provided upon Merchant agreeing to: (a) properly train its personnel in the use and application of the Software; and (b) document and promptly report all errors or malfunctions of the Software to ClickShopSupport.com and take all steps under its responsibility that are necessary to carry out procedures for the rectification of errors or malfunctions within a reasonable time after such errors have been reported to ClickShopSupport.com.

EXCEPT FOR THE WARRANTY ALREADY PROVIDED IN SECTION 3 ABOVE, THE CLICKSHOPSUPPORT.COM SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CLICKSHOPSUPPORT.COM MAKES NO WARRANTY THAT THE CLICKSHOPSUPPORT.COM SOFTWARE WILL OPERATE PROPERLY OR THAT IT WILL MEET THE SPECIFIC NEEDS OF MERCHANTS, AFFILIATES AND/OR USERS.

In the event that Merchant receives an infringement claim by a third party related to the Software, it shall: (a) give ClickShopSupport.com prompt written notice of any such action or third party claim in such detail as ClickShopSupport.com may reasonably request; (b) provide ClickShopSupport.com with reasonable assistance in defending such claims, at ClickShopSupport.com' expense; (c) allow ClickShopSupport.com to have sole control of the defense or settlement of any claim; and (d) not enter into any settlement or compromise of a claim, nor provide any information whatsoever to any Third Party in connection with any such claim, without ClickShopSupport.com' prior written consent to such effect.

In the event that the Software or any part thereof becomes, or in ClickShopSupport.com's reasonable opinion, is likely to become, the subject of a claim as contemplated in this Schedule, ClickShopSupport.com may either: (a) procure Merchant with the right to continue using the Software free from any such claim; or (b) replace or modify the Software to make the Software non-infringing without material loss in performance throughout.

13. USE OF SITE.

ClickShopSupport.com authorizes you to view and download the materials at this Web site ("Site") only for your personal, non-commercial use, provided that you retain all copyright and other proprietary notices contained in the original materials on any copies of the materials. You may not modify the materials at this Site in any way or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose.

For purposes of these Terms, any use of these materials on any other Web site or networked computer environment for any purpose is prohibited. The materials at this Site are copyrighted and any unauthorized use of any materials at this Site may violate copyright, trademark, and other laws. If you breach any of these Terms, your authorization to use this Site automatically terminates and you must immediately destroy any downloaded or printed materials.

Copyright.

The content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. Use of Software.

If you download software from this Site ("Software"), use of the Software is subject to the license terms in the Software License Agreement that accompanies or is provided with the Software. You may not download or install the Software until you have read and accepted the terms of the Software License Agreement.

User Submissions.

Any material, information or other communication you transmit or post to this Site will be considered non-confidential and non-proprietary ("Communications"). ClickShopSupport.com will have no obligations with respect to the Communications. You are prohibited from posting or transmitting to or from this Site any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material that would violate any law.

Suspended Accounts.

ClickShopSupport.com reserves the right to suspend a Member's or Merchant's account indefinitely if any of these Terms or Conditions are breached.

Nontransferable.

Your right to use the Site is not transferable. Any password or right given to you to obtain information or documents from the Site is not transferable. ClickShopSupport.com may, but is not obligated to, monitor or review any areas on the Site where users transmit or post Communications or communicate solely with each other, including but not limited to chat rooms, bulletin boards or other user forums, and the content of any such Communications. ClickShopSupport.com, however, will have no liability related to the content of any such Communications, whether or not arising under the laws of copyright, libel, privacy, obscenity, or otherwise.
